AI Usage Terms

Version 2026-11-02-beta · Effective November 4, 2026

These AI Usage Terms ("AI Terms") are between Teambridge LLC and its parent company, Zira Technologies Inc. (together, "Teambridge", "we", "us" or "our"), and the Customer whose account turns on the AI Features. They supplement the agreement under which the Customer subscribes to the Services (the "Customer Agreement") and our Terms of Use. Capitalized terms not defined here have the meanings given in the Terms of Use.

1. Accepting these AI Terms

1.1 The AI Features are turned on for a Customer account when a User selects "Activate Helios", or another control that refers to these AI Terms. By doing so, that User accepts these AI Terms on behalf of the Customer, and the Customer is bound by them.

1.2 The User who accepts represents that they are an owner of the account or hold billing authority for it, and that they are authorized to bind the Customer. If they are not, they must not accept, and they are personally responsible for any use of the AI Features that follows from their acceptance.

1.3 Acceptance applies to the whole Customer account, not only to the User who accepts. We record who accepted, when, and which version of these AI Terms they accepted. That record is evidence of the Customer's agreement.

1.4 The Customer Agreement supersedes these AI Terms wherever the two overlap. If they conflict, the Customer Agreement governs to the extent of the conflict, and these AI Terms apply to everything else.

2. Definitions

  • "AI Features" means Helios, AI Specialists, AI-built or AI-run workflows and their nodes, AI-assisted policies and matching, and any other feature we identify as AI-powered, including features we add later.
  • "Input" means anything a User or the Customer's systems provide to the AI Features, including prompts, messages, files and the account data the AI Features read to respond.
  • "Output" means anything the AI Features return or produce, including answers, summaries, recommendations, drafts, rankings and configuration.
  • "AI Action" means a change the AI Features make in the Customer account or send outside it, such as creating or editing a workflow, policy, form or record, or sending a message.
  • "AI Work Credits" means the units in which we measure and charge for use of the AI Features.
  • "Usage Terms" means the AI Work Credit rates, allowances, plans and billing rules we publish in the app or on our website, or set out in an order form, as updated under Section 5.

3. Turning the AI Features on

3.1 Accepting turns the AI Features on for every User in the Customer account, subject to the permissions the Customer sets. Administrative Users control which access groups can use Helios.

3.2 If the User who accepts is not an owner, we may grant the Helios permission to the access groups that give that User billing access. Every User in those groups can then use Helios. The Customer can change this in access-group settings at any time.

3.3 Accepting is a decision for the Customer account. To turn the AI Features off later, an Administrative User may contact support@teambridge.com. Turning them off does not undo AI Actions already taken or refund AI Work Credits already used.

4. Beta

4.1 Some AI Features are offered as a beta. Beta features are free until the beta ends, may change or be withdrawn at any time, and carry no service levels, support commitments or warranties.

4.2 The beta ends automatically at 11:59 p.m. Pacific time on November 30, 2026, unless we give notice of a different date. From then on, use of the AI Features consumes AI Work Credits under Section 5. We may give notice under these AI Terms in the app, by email to an Administrative User, or on the Usage Terms page.

5. AI Work Credits and Usage Terms

5.1 After the beta, use of the AI Features consumes AI Work Credits under the Usage Terms then in effect. By accepting these AI Terms, the Customer agrees to the Usage Terms, as published and updated under this Section 5, without a further signature.

5.2 The Usage Terms may set the credits included in a plan, the credits each kind of use consumes, the price of additional credits, how unused credits expire, and what happens when credits run out. If an order form sets different credit terms, the order form governs for its term.

5.3 We may change the Usage Terms by giving at least 30 days' notice as described in Section 4.2. A change applies from its effective date. If the Customer does not agree to a change, it may turn the AI Features off before that date under Section 3.3. Continued use of the AI Features after the effective date means the Customer accepts the change.

5.4 Our metering of AI Work Credits is final, absent a clear error the Customer reports within 30 days of the invoice or usage statement. Credits are non-refundable and have no cash value, except as the Customer Agreement or applicable law requires.

5.5 We may limit or pause the AI Features when the Customer's credits are used up, until more are added or the next allowance begins.

6. AI Actions and the Customer's responsibility

6.1 The Customer authorizes Teambridge to take AI Actions in its account that a User requests, approves or sets up to run automatically, including workflows that run without a User present.

6.2 The Customer is responsible for all AI Actions taken at its Users' direction, and for Output that its Users use, publish, send or act on, as if its Users had taken those actions themselves.

6.3 The Customer is responsible for reviewing Output and AI Actions before relying on them, and for keeping the controls it needs, such as approval steps, access-group permissions and audit of changes.

7. Employment and other consequential decisions

7.1 The AI Features may help with scheduling, staffing, matching, compliance, pay-related setup and workforce communications. They are tools to assist people, not decision-makers.

7.2 The Customer will not use Output as the sole basis for a decision that has a legal or similarly significant effect on a person, including hiring, firing, discipline, scheduling eligibility, pay, or classification, without meaningful human review.

7.3 The Customer is solely responsible for complying with laws that apply to its use of the AI Features and its workforce decisions, including employment, wage-and-hour, anti-discrimination, privacy and automated decision-making laws, and for giving any notices, obtaining any consents and conducting any assessments those laws require.

8. Acceptable use

The Customer and its Users will not, and will not allow anyone to:

  • use the AI Features in a way that violates law or the rights of others, or that discriminates unlawfully;
  • try to bypass, disable or manipulate safeguards, permissions or approval steps, including by prompt injection;
  • probe, extract or reverse engineer the models, prompts or systems behind the AI Features, or use Output to build a competing product;
  • provide Input that the Customer does not have the right to provide, or sensitive data the task does not need, such as government ID numbers, bank details or health information;
  • use the AI Features to create unlawful, deceptive, harassing or infringing content, or to send messages people have not agreed to receive;
  • use the AI Features in a way that violates the usage policies of our AI model providers that we make available to the Customer.

9. Data

9.1 Input and Output are Customer Data under the Customer Agreement and are protected as it provides. As between the parties, the Customer owns its Input and Output, except for Teambridge's own software, templates and other materials.

9.2 The Customer grants Teambridge the right to process Input and Output to provide, secure, support and maintain the AI Features, and to meter usage. Teambridge may also create de-identified, aggregated data from use of the AI Features that does not identify the Customer or any individual, and use it to operate and improve the Services.

9.3 The AI Features use third-party AI model providers acting as our subprocessors. A list of them is available on request from support@teambridge.com.

9.4 Output may be similar to output produced for others. We do not promise that Output is unique or that the Customer can protect it as intellectual property.

10. Third-party providers and availability

The AI Features depend on third-party services. We may change providers or models at any time. We are not responsible for an outage, change or limitation of a third-party service, and we may suspend or limit the AI Features to respond to one.

11. Suspension

We may suspend or limit the AI Features for a Customer or User, without liability, if we reasonably believe that use breaches these AI Terms, threatens the security or integrity of the Services, could expose Teambridge or others to liability, or is required to comply with law. We will give notice where practical.

12. Feedback

If the Customer or its Users give feedback on the AI Features, including ratings of Output, Teambridge may use it without restriction or payment.

13. Disclaimers

THE AI FEATURES, OUTPUT AND AI ACTIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, TEAMBRIDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THAT OUTPUT WILL BE ACCURATE, COMPLETE, LAWFUL, FREE OF BIAS OR FIT FOR A PARTICULAR PURPOSE, AND THAT AI ACTIONS WILL BE CORRECT. THE AI DISCLAIMER FORMS PART OF THESE AI TERMS.

14. Limitation of liability

14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, TEAMBRIDGE IS NOT LIABLE FOR ANY LOSS ARISING FROM (A) A DECISION MADE USING OUTPUT, (B) AN AI ACTION A USER REQUESTED, APPROVED OR SET UP TO RUN, OR (C) A BETA FEATURE.

14.2 TEAMBRIDGE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE AI FEATURES WILL NOT EXCEED THE GREATER OF THE AMOUNTS THE CUSTOMER PAID FOR AI WORK CREDITS IN THE 12 MONTHS BEFORE THE CLAIM AND USD $100. IF THE CUSTOMER AGREEMENT SETS A LIMITATION OF LIABILITY THAT COVERS THE AI FEATURES, THAT LIMITATION APPLIES INSTEAD.

15. Indemnity

The Customer will defend, indemnify and hold harmless Teambridge and its affiliates, officers, employees and providers against any third-party claim, loss or cost (including reasonable attorneys' fees) arising from its Input, its use of Output, AI Actions taken at its Users' direction, its workforce decisions, or its breach of Sections 7 or 8.

16. Changes to these AI Terms

We may update these AI Terms. We will post the new version here with a new version number and give at least 30 days' notice of a material change as described in Section 4.2. We may ask an Administrative User to accept the new version before the AI Features can be used. Otherwise, continued use after the effective date means the Customer accepts it.

17. General

The governing law, venue and dispute terms of the Customer Agreement apply to these AI Terms. If the Customer Agreement has none, those in the Terms of Use apply. Questions about these AI Terms can be sent to support@teambridge.com or Teambridge, LLC, 612 Howard St, Suite 100, San Francisco, CA 94105.
